These Terms and Conditions (“Terms”) govern your access to and use of WestTennesseeLocal.com and all county-specific, city-specific, community-specific, and affiliated directory websites operated as part of the West Tennessee Local network (collectively, the “Network”).
The Network is operated by West Tennessee Local, LLC, a Tennessee limited liability company (“West Tennessee Local,” “WTL,” “Operator,” “we,” “us,” or “our”).
The Network includes WestTennesseeLocal.com and county directory websites operated under the West Tennessee Local umbrella, whether currently existing or added in the future.
Casual browsing and searching of a Network website does not require creation of an account or affirmative acceptance of these Terms.
You affirmatively accept these Terms when you claim or manage a business listing, purchase advertising or placement, submit content, participate in a feature that requires acceptance, or otherwise expressly indicate your agreement to these Terms.
Where affirmative acceptance is required, West Tennessee Local may maintain records showing the version of the Terms accepted, the date and time of acceptance, and other information reasonably necessary to document acceptance.
If you do not agree to these Terms, do not claim or manage a listing, purchase placement, submit content, or use a feature requiring acceptance.
Provisions describing how the public Network operates, including directory accuracy, intellectual property, automated access restrictions, disclaimers, and limitations of liability, apply to public use of the Network to the fullest extent permitted by applicable law.
↑ Back to topWest Tennessee Local operates a network of geographically focused community business directories designed to help residents and visitors discover businesses, organizations, public resources, services, and other useful information within individual West Tennessee counties and communities.
Each county directory maintains its own local identity while operating within the broader West Tennessee Local Network under these common Terms.
West Tennessee Local is an independent directory service.
Unless expressly stated otherwise on a specific page, we are not affiliated with, operated by, sponsored by, or endorsed by any county government, municipality, chamber of commerce, business association, or governmental agency.
Where we have a stated partnership with a chamber of commerce or similar organization, that relationship will be described on the relevant page and does not make that organization an operator of the Network.
↑ Back to topWest Tennessee Local may create and maintain business or organizational listings without requiring the business or organization to create an account or provide prior authorization.
Directory information may be obtained from sources including:
Directory information may include factual information such as:
West Tennessee Local does not guarantee that information obtained from public or third-party sources is complete, current, or error-free.
↑ Back to topA public business listing and the right of a person to claim, edit, or manage that listing are separate things.
Ending or relinquishing listing-management rights does not by itself require West Tennessee Local to remove the underlying public business listing.
Subject to applicable law, West Tennessee Local may continue displaying factual business information obtained from lawful public sources even if:
West Tennessee Local provides reasonable methods for correcting inaccurate information and reporting businesses that are permanently closed, duplicated, misidentified, fraudulent, or otherwise improperly listed.
We may remove, suppress, modify, or retain a listing in our reasonable discretion and as required by applicable law.
↑ Back to topThe Network is built around county-specific directories.
Unless otherwise designated by West Tennessee Local, a business’s “Home County” is the West Tennessee county in which its principal physical business location is located.
For businesses without a public storefront—including mobile businesses, home-based businesses, contractors, and service-area businesses—West Tennessee Local may determine Home County using the business’s verified principal operating address.
For a business without a separate commercial address, this may be the county in which the owner principally operates the business.
The underlying address may be used to establish Home County even when the street address is not publicly displayed.
Each qualifying business may receive a basic listing in its Home County directory at no charge, subject to Network listing standards.
A free Home County listing is not conditioned on payment, membership in an organization, or purchase of any other product or service.
A free Home County listing does not entitle a business to free placement in another county directory.
West Tennessee Local reserves the right to determine:
West Tennessee Local recognizes that legitimate businesses may operate from residential addresses that should not be publicly displayed.
An authorized business representative may request that a residential street address be withheld from public display.
Where a listing appears to use a residential address, West Tennessee Local may withhold the street address by default until an authorized representative instructs otherwise.
West Tennessee Local may retain the address privately for reasonable purposes including:
When a street address is withheld, the public listing may instead display the city, county, or service area.
↑ Back to topA person may claim or manage a business listing only if that person is:
By claiming or requesting control of a listing, you represent and warrant that you have authority to act on behalf of the business.
West Tennessee Local may require verification before granting management rights.
Verification may include confirmation through:
Falsely claiming or attempting to control another business’s listing is prohibited.
Disputed claims. If you believe someone is improperly managing your business listing, contact [email protected] with the business name and your relationship to the business.
West Tennessee Local may suspend disputed management rights during review and restore management rights to a verified owner or authorized representative.
↑ Back to topA label such as “Claimed Listing,” “Owner Verified,” or similar language means only that West Tennessee Local has taken reasonable steps to confirm that a person associated with the listing has authority to manage it.
It does not mean that West Tennessee Local has:
Inclusion in a West Tennessee Local directory does not mean that we endorse, recommend, certify, license, screen, inspect, or guarantee a business.
Users remain responsible for conducting their own due diligence before hiring, purchasing from, visiting, or otherwise transacting with a listed business.
↑ Back to topWest Tennessee Local does not designate a business as permanently closed solely because of non-response to an email, text message, telephone call, automated verification request, returned communication, or other unsuccessful attempt to contact the business.
Automated systems may identify a listing for review when information appears outdated, inconsistent, or potentially inaccurate, but automated systems are not authorized to independently designate a business as permanently closed.
A business may be designated as permanently closed only when West Tennessee Local has a reasonable factual basis for that determination.
A reasonable factual basis may include:
Information that may contribute to a closure review includes:
No single indirect indicator, including a disconnected telephone number, returned mail, inactive website, outdated social-media page, unverified third-party directory status, or lapse in business registration, is by itself treated as conclusive proof that a business has permanently closed.
Where West Tennessee Local has reason to question whether a listing remains current but does not have sufficient evidence to confirm closure, we will not publicly state that the business is permanently closed.
We may instead:
West Tennessee Local may retain reasonable records supporting material business-status determinations.

Requests should identify:
West Tennessee Local may verify a request before acting.
We will investigate reported inaccuracies and correct confirmed errors within five (5) business days after verification.
Reports concerning a business’s operating status are treated as priority.
If a business owner or authorized representative credibly disputes a permanent-closure designation, West Tennessee Local will promptly review the matter and may temporarily remove the closure designation or replace it with neutral language while the review is pending.
We may decline to remove factual commercial information lawfully obtained from public sources where continued publication is lawful and consistent with the purpose of a public business directory.
We will nonetheless correct confirmed inaccurate, outdated, or misleading information.
We will give individual consideration to requests involving:
A business’s free listing applies only to its designated Home County unless West Tennessee Local expressly provides otherwise.
Businesses wishing to receive visibility in additional county directories may purchase Additional County Placement where offered.
Purchasing Additional County Placement does not change the business’s physical location or Home County.
Every Additional County Placement will be clearly identified as “Sponsored” or with another clear advertising disclosure and will identify the county in which the business is actually located.
Businesses physically located within a county are ranked above Additional County Placements in that county’s ordinary category listings and search results.
Businesses purchasing Additional County Placement represent and warrant that they genuinely provide goods or services to customers located in each county for which placement is purchased.
West Tennessee Local may require reasonable evidence of service-area coverage.
We may decline or remove Additional County Placement when a business:
Where West Tennessee Local removes paid placement for a reason other than the purchaser’s violation of these Terms, we will refund the unused portion of the applicable placement fee.

Subject to Section 11, paid placement may affect the prominence or position in which a business appears.
All paid placements will carry a clear commercial disclosure such as:
Product names such as “Featured Placement” or “Additional County Placement” are product names and are not substitutes for a clear advertising disclosure.
A paid listing or advertisement does not constitute an endorsement by West Tennessee Local.

We do not guarantee:
Reporting provided by West Tennessee Local describes past activity.
It is not a prediction or promise of future results.
↑ Back to topPrices and billing terms for paid services are disclosed at the time of purchase or in a separate written agreement.
Unless otherwise stated in writing:
Where recurring billing is offered, renewal terms will be disclosed before purchase.
A separate written agreement, order form, proposal, or checkout agreement may establish additional terms.
Where those terms conflict with these Terms regarding the purchased service, the more specific written agreement controls.
↑ Back to topIf you claim, submit, advertise, or manage a business listing, West Tennessee Local may send communications reasonably necessary to administer your listing or purchased services.
These may include:
These are administrative communications rather than marketing communications.
Separately, West Tennessee Local may send communications about optional Network features, paid placement, listing improvements, and other optional products or services offered by us or a related business identified in our Privacy Policy.
These are marketing communications.
We send them only where permitted by applicable law and where required consent has been obtained.
You may opt out at any time without affecting your free Home County listing.
Marketing emails include an unsubscribe method.
West Tennessee Local sends text messages only to business representatives who have separately and affirmatively consented to receive them.
Consent to receive text messages is never required to obtain or keep a free Home County listing and is never a condition of purchase.
Where applicable, we separately identify:
(a) Listing verification messages — messages confirming business hours, contact information, or other listing details and containing no advertising or offer.
(b) Commercial messages — messages regarding paid placement, optional services, or other offers.
You may revoke text-message consent at any time by replying:
STOP, QUIT, END, CANCEL, UNSUBSCRIBE, REVOKE, or OPT OUT
or by another reasonable method, including:
We honor revocation requests promptly and in accordance with applicable law.
Message and data rates may apply. Message frequency varies.
West Tennessee Local maintains an internal do-not-call and communications-suppression policy.

You retain ownership of content that you own.
By submitting content to the Network, you grant West Tennessee Local a non-exclusive, worldwide, royalty-free license to host, store, reproduce, resize, format, crop, display, publish, distribute, index, promote, and otherwise use that content as reasonably necessary to operate and promote the Network and your listing.
You represent that you have the rights necessary to submit the content.
You may not upload material that infringes another person’s copyright, trademark, privacy, publicity, or other legal rights.
↑ Back to topWhen West Tennessee Local creates an unclaimed listing from public sources, we use factual business information such as:
West Tennessee Local does not intentionally reproduce third-party photographs, logos, marketing copy, or other creative material in unclaimed listings.
Descriptions appearing on unclaimed listings are written by West Tennessee Local or derived from factual public information.

West Tennessee Local may remove content or suspend access where reasonably necessary.
↑ Back to topIf the Network enables reviews, recommendations, community voting, “Local Favorites” awards, or similar features, users must provide authentic opinions based on genuine experiences.
Prohibited activity includes:
Community voting programs, including Local Favorites awards, will be governed by separately published program rules.
Those rules will describe eligibility, voting mechanics, and how winners are determined.
Participation in community voting or awards programs is free.
Purchasing advertising, sponsorship, placement, or another product does not affect award eligibility or outcome.
Awards and voting results represent community participation under the applicable program rules and are not warranties, certifications, or endorsements by West Tennessee Local.
↑ Back to topWest Tennessee Local may publish community calendars, “This Week” pages, event listings, announcements, activities, and other community information throughout the Network.
Community content may be submitted by businesses, organizations, event organizers, government entities, community members, or other users, or may be compiled by West Tennessee Local from publicly available sources.
Community and event information may include:
West Tennessee Local may edit, shorten, reformat, categorize, summarize, or standardize submitted or publicly available event information for consistency, clarity, searchability, or display across the Network.
We do not intentionally change the substantive meaning of event information when doing so.
If you submit an event, announcement, or other community content, you represent that:
Submitted community content is also subject to the content license and prohibited-content provisions of these Terms.
Event information can change after publication.
West Tennessee Local does not guarantee that an event:
Users should verify important event information directly with the organizer before traveling, purchasing tickets, making reservations, or relying on a listing.
West Tennessee Local may update or remove community content when credible information indicates that it is inaccurate, outdated, canceled, duplicated, misleading, or inappropriate for the Network.
Unless a listing expressly states otherwise, publication of an event on the Network does not mean that West Tennessee Local:
Users attend or participate in third-party events at their own discretion.
If an event listing links to a third-party website for registration, tickets, donations, reservations, purchases, or additional information, the transaction or interaction occurs between the user and the applicable third party.
West Tennessee Local is not responsible for third-party:
If West Tennessee Local accepts payment for featured, sponsored, or elevated placement of an event or other community content, the paid placement will be identified with a clear commercial disclosure such as “Sponsored,” “Advertisement,” or “Paid Placement.”
Payment for promotion does not constitute an endorsement by West Tennessee Local.
West Tennessee Local may accept, reject, edit, categorize, delay, remove, or decline to publish community content in its reasonable discretion.
Submission of an event or announcement does not guarantee publication.
West Tennessee Local may establish additional submission guidelines for community calendars or specific county directories, provided those guidelines do not conflict with these Terms.

Unless expressly stated otherwise, West Tennessee Local is not a party to transactions between directory users and listed businesses.
We are not responsible for:
Users should independently verify licensing, insurance, qualifications, references, pricing, and other information where appropriate.
↑ Back to topListings may contain links to third-party websites, social-media profiles, maps, booking systems, payment services, review platforms, telephone services, and other resources.
West Tennessee Local does not control those services and is not responsible for their content, security, availability, privacy practices, or actions.
↑ Back to topWest Tennessee Local works to maintain useful and current information but cannot guarantee that every listing is accurate at every moment.
Businesses open, close, relocate, change ownership, change telephone numbers, and change services.
Users and business owners are encouraged to report inaccurate information under Section 10.
↑ Back to topExcept for third-party content, the Network’s software, design, database organization, branding, original text, graphics, compilations, directory structure, custom research, and other original materials are owned by or licensed to West Tennessee Local.
Nothing in these Terms transfers ownership of Network intellectual property.
↑ Back to topThe public availability of individual directory listings does not authorize bulk copying of the Network.
If you affirmatively accept these Terms, you agree not to use automated or manual methods without our prior written permission to:
Ordinary search-engine indexing that respects applicable technical controls is permitted.
Regardless of contractual assent, West Tennessee Local reserves all rights and remedies available under applicable law concerning unauthorized access, circumvention of technical restrictions, misappropriation, infringement, or other unlawful extraction or commercial use.

WEST TENNESSEE LOCAL DISCLAIMS WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND AVAILABILITY.
WE DO NOT WARRANT THAT:
Nothing in this Section excludes warranties that cannot lawfully be excluded.

TO THE FULLEST EXTENT PERMITTED BY LAW, WEST TENNESSEE LOCAL’S TOTAL LIABILITY ARISING FROM OR RELATING TO A SERVICE PROVIDED UNDER THESE TERMS WILL NOT EXCEED THE GREATER OF:
(A) THE AMOUNT YOU PAID WEST TENNESSEE LOCAL FOR THE SERVICE GIVING RISE TO THE CLAIM DURING THE PRECEDING TWELVE MONTHS; OR
(B) ONE HUNDRED DOLLARS ($100).
These limitations do not apply where prohibited by law or to liability that cannot legally be limited.
↑ Back to topIf you claim or manage a business listing, purchase advertising, submit content, or otherwise use the Network commercially, you agree to defend, indemnify, and hold harmless West Tennessee Local, its affiliates, owners, officers, employees, contractors, and service providers from claims, liabilities, damages, expenses, and reasonable legal fees arising from:
Use of the Network is also governed by the West Tennessee Local Privacy Policy, which is incorporated into these Terms by reference.
↑ Back to topThese Terms are governed by the laws of the State of Tennessee, without regard to conflict-of-law principles.
For arbitration agreements governed by this Section, the Federal Arbitration Act, 9 U.S.C. §§ 1–16 (“FAA”), governs interpretation and enforcement.
The arbitration provisions of this Section apply to persons and businesses that affirmatively accept these Terms in connection with:
West Tennessee Local does not rely on this arbitration provision to bind a casual directory visitor who never affirmatively accepted these Terms.
Before beginning arbitration, the party asserting a dispute must first provide written notice describing:

The parties will attempt in good faith to resolve the dispute for at least thirty (30) days after receipt of notice before arbitration is filed.
Except for eligible small claims and requests for temporary or emergency court relief, a dispute arising out of or relating to the commercial relationship between a person or business that has affirmatively accepted these Terms and West Tennessee Local will be resolved by binding individual arbitration administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules and Mediation Procedures then in effect.
Judgment on an arbitration award may be entered in a court having jurisdiction.
Unless the parties agree otherwise or AAA rules require otherwise, arbitration will take place in Crockett County, Tennessee.
The parties may agree to conduct arbitration by telephone, video conference, documents-only proceeding, or another mutually acceptable method.
Filing fees, administrative fees, arbitrator compensation, and other arbitration costs will be allocated in accordance with applicable AAA Commercial Arbitration Rules and fee schedules unless applicable law or the arbitrator requires otherwise.
Each party is responsible for its own attorneys’ fees unless a statute, written agreement, or arbitration award provides otherwise.
Either party may bring an eligible individual claim in a court of limited jurisdiction or small claims court if the claim:
Nothing in this Section prevents either party from seeking temporary, preliminary, or emergency injunctive relief from a court where necessary to prevent immediate harm while arbitration is pending or being initiated.
This may include disputes involving:
YOU AND WEST TENNESSEE LOCAL UNDERSTAND AND AGREE THAT ARBITRATION REPLACES THE RIGHT TO HAVE A DISPUTE SUBJECT TO THIS SECTION DECIDED BY A JUDGE OR JURY IN COURT.
TO THE FULLEST EXTENT PERMITTED BY LAW, EACH PARTY WAIVES THE RIGHT TO A JURY TRIAL FOR CLAIMS SUBJECT TO ARBITRATION.
YOU AND WEST TENNESSEE LOCAL AGREE THAT CLAIMS SUBJECT TO ARBITRATION WILL BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY.
NEITHER PARTY MAY BRING OR PARTICIPATE IN A CLASS, COLLECTIVE, OR REPRESENTATIVE ARBITRATION TO THE EXTENT SUCH WAIVER IS PERMITTED BY LAW.
Unless both parties agree otherwise in writing, an arbitrator may not consolidate claims of unrelated persons or businesses merely because the claims are similar.
A person or business may opt out of the arbitration provisions of this Section without affecting the remainder of these Terms.
To opt out, written notice must be sent within thirty (30) days after first affirmatively accepting these Terms.

If arbitration is validly opted out of, disputes may be brought in a court having jurisdiction in Tennessee, subject to applicable law.
If a portion of this arbitration provision is found invalid or unenforceable, the remaining portions remain effective to the fullest extent permitted by law.
If the prohibition against class or representative arbitration is found unenforceable for a particular claim, that claim will proceed in a court of competent jurisdiction rather than in class or representative arbitration, while remaining individual claims subject to arbitration may continue in arbitration.
This Section survives termination of listing-management rights, expiration or cancellation of paid services, or cessation of commercial use of the Network.

Updated Terms will display a revised effective date.
Where a material change affects users who previously affirmatively accepted these Terms, West Tennessee Local may require renewed affirmative acceptance.
Material changes affecting paid services may also be communicated directly to affected customers.

West Tennessee Local may assign these Terms in connection with a merger, acquisition, restructuring, sale of assets, or transfer of the Network.
↑ Back to topThese Terms, the Privacy Policy, applicable order forms, advertising agreements, published program rules, and other expressly incorporated written agreements constitute the agreement between you and West Tennessee Local concerning applicable use of the Network.
